Founded in 2022 and incorporated as an independent business in 2024, it operates as an industry utility with a mutual ownership structure, bringing together major retail investment platforms including Hargreaves Lansdown, AJ Bell and Interactive Investor, alongside leading investment banks such as Peel Hunt, Jefferies and Rothschild & Co. The company is FCA authorised and works across the full spectrum of public equity and debt capital markets transactions.
RetailBook addresses a longstanding structural inequality in UK capital markets, where retail investors have historically been excluded from primary market transactions despite holding over £1 trillion in investable assets. Its platform connects companies seeking to raise capital with millions of retail investors via established brokers and wealth managers, providing seamless participation through a compliant, technology-driven infrastructure. Recent transactions handled include the UK's two largest IPOs of 2024 — Applied Nutrition and Raspberry Pi — as well as record-breaking Treasury bill demand from retail investors.
RetailBook significantly expanded its capabilities in early 2025 through the hire of the former PrimaryBid Capital Markets team, adding expertise across equity and debt retail transactions. The company subsequently raised £4.5 million in a funding round led by Augmentum Fintech, with participation from its existing strategic investors. With regulatory reform driving increased focus on retail market participation, RetailBook is well positioned to become the central channel for public retail inclusion in UK capital markets.
